Third-Party Tools: Platforms or software we use to deliver services (Google Ads, Meta, analytics tools, Razorpay, etc.).

3. Eligibility

Clients must be 18 years or older and have the legal capacity to enter into a contract.

Our services are for business purposes (B2B) only; we do not provide services to consumers/end-users.

By using our services, you represent that the information you provide is accurate, complete, and current.

4. Service Scope

Adyverze provides digital marketing and ad automation services as described on our website or in individual contracts.

The services may include:

Ad campaign strategy, creation, and optimization

Analytics, reporting, and performance tracking

Content creation and social media management

AI-driven audience targeting and automated ad optimization

Consultation and support

We reserve the right to modify, suspend, or discontinue any service temporarily or permanently.

5. Client Responsibilities

Clients agree to:

Provide accurate, complete, and timely information for service delivery

Ensure all content provided is lawful, does not infringe on third-party rights, and complies with advertising regulations

Use our services only for legal purposes

Cooperate with Adyverze in campaign setup, approvals, and feedback

6. Payment Terms

All payments for services are due as per the agreed contract or invoice.

Payments are processed via secure online gateways (e.g., Razorpay).

Adyverze does not store sensitive payment information; only the necessary billing info is retained.

Late or non-payment may result in suspension or termination of services.

7. Intellectual Property

All intellectual property rights in Adyverze-created content, campaigns, and tools remain the property of Adyverze until full payment is received.

Clients are granted a limited, non-exclusive, non-transferable license to use deliverables for intended purposes only.

Any content or assets provided by clients to Adyverze remain the property of the client.

8. Confidentiality

Both parties agree to maintain confidentiality of business data, campaign strategies, trade secrets, and client data.

Adyverze may share client data only with third-party platforms necessary for service delivery, under confidentiality obligations.

9. Limitation of Liability

Adyverze is not liable for:

Direct or indirect losses from the use of third-party platforms (Google, Meta, etc.)

Campaign performance not meeting specific expectations

Unauthorized access or data breaches beyond our reasonable control

Maximum liability is limited to fees paid by the client for the specific service causing the claim.

10. Termination

Either party may terminate services per the contract terms.

Termination may occur immediately if the client:

Breaches these Terms

Provides false information

Fails to pay fees due

Upon termination, all unpaid fees remain due and payable.

11. Privacy

Your use of Adyverze services is governed by our Privacy Policy, which is incorporated into these Terms.

We process data in compliance with the DPDP Act, 2023, and relevant privacy laws.

12. Third-Party Services

Adyverze may use third-party tools to deliver services.

You agree to comply with all third-party terms and policies.

Adyverze is not responsible for any errors, failures, or disputes arising from third-party platforms.

13. Governing Law & Dispute Resolution

These Terms are governed by Indian law.

Any dispute arising from these Terms or services will first be attempted to resolve via good-faith negotiation.

If unresolved, disputes shall be subject to exclusive jurisdiction of courts in India.

14. Indemnification

Clients agree to indemnify and hold harmless Adyverze, its employees, partners, and affiliates from:

Claims arising from client content or campaigns

Violation of laws, regulations, or third-party rights

Any damages resulting from misuse of services

15. Changes to Terms

Adyverze reserves the right to update these Terms at any time.

Updates are effective immediately upon posting on the website.

Continued use of our services signifies acceptance of updated Terms.
